Invoice Terms

These terms apply to all invoices issued by Humayn ("Humayn," "we," "our") to the Client and govern payment for services rendered. Where a separate engagement agreement exists, that agreement governs the scope of work and these terms cover billing only.

All invoiced amounts are in US Dollars (USD) unless explicitly stated otherwise on the invoice.

Payment is due within 7 days of the invoice date (Net 7) unless a different term is specified on the invoice.

Humayn currently accepts payment exclusively by ACH transfer to the bank account specified on the invoice. The Client is responsible for any sender-side fees, and the full invoiced amount must be received in Humayn's account. Payments made through any other method will not be considered settled until cleared funds are received via the designated payment channel. Humayn reserves the right to update or change accepted payment methods at any time. Any such change will be explicitly indicated on the invoice itself, and the payment instructions printed on each invoice will always govern that specific invoice.

For retainer or recurring engagements, invoices are issued on the 1st and 15th of each month and cover the corresponding service period. If an engagement ends mid-cycle, the final invoice will be prorated based on the actual days worked during that cycle.

Invoices not paid within the agreed term may incur a late fee of 1.5% per month on the outstanding balance, or the maximum amount permitted by applicable law, whichever is lower. Humayn reserves the right to pause active work on any engagement with overdue invoices until balances are settled.

If any invoice remains unpaid beyond the agreed payment term, Humayn reserves the right, to the fullest extent permitted by applicable law, to pursue all lawful remedies for the recovery of unpaid amounts. Such remedies include, without limitation:

1. (a)referring the outstanding balance to a licensed third-party collection agency;
2. (b)initiating legal proceedings in the appropriate court of competent jurisdiction in the Client's country, state, or territory of residence or principal place of business; and
3. (c)recovering all reasonable costs of collection, including but not limited to attorneys' fees, court costs, filing fees, arbitration fees, collection agency commissions, and pre-judgment and post-judgment interest at the maximum rate permitted by applicable law.

For Clients located in the United States, Humayn may pursue collection through any forum permitted under applicable U.S. federal and state law, including small claims court, state civil court, or federal court where jurisdiction is proper. The Client consents to personal jurisdiction and venue in any such court for the purpose of debt collection. Notwithstanding Section 14 (Governing Law), Humayn may file collection actions in any jurisdiction where the Client resides, maintains assets, or has its principal place of business, where doing so is necessary for the effective enforcement of payment obligations under these terms.

Any dispute or discrepancy regarding an invoice must be raised in writing to mohsin@gethumayn.com within 5 business days of the invoice date. After this period, the invoice is deemed accepted by the Client.

Invoiced amounts are exclusive of any taxes, duties, or withholdings required by the Client's jurisdiction. Humayn is a Pakistan-based entity and does not collect US sales tax. The Client is responsible for any applicable taxes on their end. Where required, Humayn will provide Form W-8BEN-E or equivalent documentation to support proper tax treatment.

Ownership of project deliverables transfers to the Client upon full payment of the corresponding invoice. Until payment is received, all work product remains the property of Humayn. Pre-existing tools, frameworks, methodologies, code libraries, and internal IP used in the engagement remain the property of Humayn and are licensed to the Client for use within the scope of the deliverable only.

Both parties agree to keep confidential any non-public information shared during the engagement and to use such information solely for the purposes of the work. This obligation survives termination of any engagement.

Either party may terminate an engagement by providing 30 days' written notice to the other party. The Client remains liable for all work performed, fees accrued, and expenses incurred up to the effective date of termination. Any prepaid amounts for unused service periods will be refunded on a prorated basis. Termination does not relieve the Client of the obligation to pay for services already rendered.

Humayn's total liability arising out of or relating to any engagement is limited to the total fees paid by the Client to Humayn during the 60 days immediately preceding the event giving rise to the claim. Humayn is not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

These terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes will first be addressed through good-faith discussion between the parties. If unresolved within 30 days, disputes will be referred to arbitration in Islamabad under the Arbitration Act, 1940, with English as the language of proceedings. This Section 14 does not limit Humayn's rights under Section 7 (Collection and Enforcement) to pursue debt recovery in the Client's home jurisdiction.

Humayn may update these terms with 30 days' written notice. Updated terms apply only to invoices issued after the effective date.
